LOUISE BANCSHARES, INC. ANNOUNCES COMPLETION OF DILLEY STATE BANK ACQUISITION 

Louise, Texas, December 14, 2020 – Louise Bancshares, Inc. (“LBI”) today announced the closing of its acquisition of Dilley State Bank of Dilley, Texas effective December 11, 2020.  Dilley State Bank had total assets of approximately $136.3 million.  With this acquisition, LBI will own 100% of Dilley State Bank and will continue to own 100% of The First State Bank, Louise, Texas.

Chip Jenkins, Chief Executive Officer of The First State Bank, stated, “We look forward to the opportunity to serve Dilley and surrounding area with excellent customer service. We expect the transition will be reasonably seamless to the existing customers of Dilley State Bank, and we plan to offer additional services and opportunities that appeal to current customers, as well as those who may be future customers.”

The acquisition expands The First State Bank’s footprint along South Texas into Dilley, Texas.  Together, The First State Bank and Dilley State Bank now have thirteen offices serving South Texas and have total assets in excess of $720 million.

Hunton Andrews Kurth LLP acted as legal counsel for The First State Bank.  Sheshunoff & Co. served as financial advisor and Fenimore, Kay, Harrison & Ford, LLP acted as legal counsel to Dilley State Bank.

Joint Announcement of Agreement for Louise Bancshares, Inc., Louise, TX to Acquire Dilley State Bank, Dilley, TX

Louise, TX and Dilley, TX – Louise Bancshares, Inc. and its wholly owned subsidiary, The First State Bank, Louise, Texas, and Dilley State Bank, Dilley, Texas, announced today that they have entered into an agreement whereby Louise Bancshares, Inc. would acquire Dilley State Bank. Upon closing of the transaction, expected in the fourth quarter of 2020, Dilley State Bank will become a wholly-owned subsidiary of Louise Bancshares, Inc. The transaction is subject to receipt of customary regulatory and shareholder approvals.

Effective March 19, 2020 at 9:00 a.m.,

Starting tomorrow, March 19, 2020 at 9:00 a.m., The First State Bank branch lobby access will be by appointment only. Please use our drive-thru's, ATMs and e-banking services for your financial needs. To ensure the health and safety of our customers and employees, The First State Bank has decided to modify our lobby services at all branches until further notice. Lobbies will be available by appointment only for transactions of New Accounts, New Loans and Safe Deposit Box access. The First State Bank employees will be available via phone and email to continue assisting customers.

THE FIRST STATE BANK RESPONSE TO THE CORONAVIRUS (COVID-19)

LOUISE, Texas- The First State Bank cares about your safety and the safety of our employees. 

As news of the coronavirus continues to develop, we will continue to serve your financial needs and update you with information on how we will best serve you safely and effectively. Starting March 17, 2020 at 12:00 p.m. our Blessing branch lobby will be closed until further notice. The Blessing drive-thru lanes are currently operating normal business hours. All other branches are normal lobby and drive-thru business hours. 

We understand if you choose to socially distance yourself- online banking, The First State Bank App for Apple or Android, drive-thru and ATM's are ready to help meet your banking needs. If you stop by one of our lobbies, we are taking the necessary precautions to keep everyone safe. We are following CDC.gov recommendations and refraining from shaking hands and hugging, as a precaution. If you are feeling sick or have been exposed to an illness, we urge you to utilize our online banking for funds transfer, bill payment, mobile capture and online account openings. THE FIRST NATIONAL BANK OF WOODSBORO

The First State Bank, Louise, Texas is excited to announce that it has entered into a definitive agreement to acquire The First National Bank of Woodsboro. The acquisition was approved by the Board of Directors and shareholders of both banks and received regulatory approval. The expected closing date is scheduled for August 2018. The acquisition will expand The First State Bank's presence along the Texas Gulf Coast by adding branch locations in Woodsboro and Refugio, Texas.
